01Who we are
Lazy Marketing, LLC (“Lazy Marketing,” “we,” “us,” or “our”) is a marketing and digital agency based in Greenville, South Carolina. We provide content creation, website development, custom backend and CRM systems, paid advertising, local SEO, and related services.
These Terms apply to lazymarketing.agency, staylazy.co, our client portal, and other websites or services we operate that link to these Terms.
You can contact us at hello@lazymarketing.agency or (864) 612-1352.
02Using our websites and portal
You may use our websites to learn about our services, contact us, book calls, and manage your engagement with us.
You must not misuse our websites or portal, attempt unauthorized access, interfere with their operation, submit false or unauthorized information, or use automated tools to submit spam or bypass security measures. You may not reproduce or commercially use our branding, footage, case studies, website content, or proprietary code without permission.
If you have a portal account, you are responsible for keeping your credentials secure and notifying us promptly of suspected unauthorized access. We may restrict access when reasonably necessary to address misuse, security concerns, or a breach of these Terms.
We may update, replace, or discontinue website features. Changes affecting contracted services remain subject to your service agreement.
03How an engagement starts
Before work begins, we will agree on a written quote, proposal, statement of work, or service agreement (the “Order”). The Order defines your services, deliverables, fees, payment schedule, estimated timeline, and any specific conditions.
Work begins once the Order has been accepted and any required deposit or first payment has cleared, unless we agree otherwise in writing.
If an Order conflicts with these Terms, the Order controls for that engagement. Submitting an inquiry or booking a call does not, by itself, create a service engagement.
04Scope, revisions, and additional work
We will perform the work described in your Order. Included revisions, filming sessions, content quantities, website features, integrations, and other deliverables are determined by that Order.
Requests outside the agreed scope—including additional revisions, new features, reshoots, or changes to an approved direction—may affect the price and timeline. We will obtain your written approval of any additional fees before carrying out that work.
Hosting, maintenance, ongoing updates, monitoring, advertising management, and support are included only when expressly stated in the Order. Completing a website or system does not create an ongoing obligation to maintain or update it.
05Your responsibilities
You agree to provide timely access to the materials, accounts, systems, locations, approvals, and feedback reasonably needed to complete the work.
You confirm that you have permission to use the materials you provide and to authorize any requested filming, publication, or advertising. You remain responsible for the accuracy and legality of your business claims, offers, product information, and instructions.
We will submit deliverables for approval where required by the Order. You are responsible for checking business details, prices, claims, and other factual information before approving publication or launch.
Delays in access, materials, feedback, or approval may extend the timeline and require rescheduling based on our availability. If a project remains inactive for more than 30 days because we are waiting on you, we may pause or close it after written notice. Any resulting invoice will reflect completed work and approved, non-cancellable costs; inactivity alone does not make unfinished work complete.
06Fees and payments
All prices are in US dollars unless the Order states otherwise. Invoices are due within seven days of issue unless a different due date is agreed.
Monthly services are billed in advance. Unless otherwise stated in the Order, website projects are billed 50% before work begins and 50% before launch or final handover. Any installment plan must be agreed in writing.
Advertising spend, domains, hosting, software subscriptions, stock assets, and other third-party costs are separate from our fees unless expressly included. Advertising spend is paid directly by you to the platform unless we agree otherwise.
If an invoice becomes overdue, we may pause work or services after notifying you. Resuming work may require an updated schedule.
07Deposits, cancellations, and refunds
Deposits are credited toward your project total. Any booking, cancellation, or refund conditions stated in your Order or an expressly incorporated Deposits & Refunds policy apply.
Unless the Order states otherwise, you may cancel a monthly service by giving written notice before the next billing period begins, with no additional notice period. The current paid period remains active and will be delivered as agreed. Cancellation alone does not entitle you to a refund for that period.
You may end a one-time project by written notice. You remain responsible for completed work and approved, non-cancellable third-party costs. We will provide an itemized final account, apply payments already received, and refund any balance exceeding the amount owed.
These provisions do not limit remedies available if we fail to deliver contracted services or rights that cannot be excluded by law.
08Ownership of deliverables
You retain ownership of your existing brand, materials, accounts, and data. You grant us permission to use them as reasonably necessary to perform the services.
Once all fees associated with a deliverable have been paid, we will transfer our rights in the original, final client-specific deliverable to you through the signed Order or a separate signed assignment. This applies to the deliverables identified in your Order, such as final edited videos, custom website designs, client-specific code, and advertising creative.
Unless expressly included, deliverables do not include raw footage, unused concepts, working files, editable project files, or internal production materials.
We retain ownership of our pre-existing and reusable tools, libraries, templates, processes, and know-how. Once the applicable fees are paid, we grant you a perpetual, non-exclusive license to use, modify, and maintain those materials as incorporated into your deliverables, including through another service provider acting on your behalf.
Third-party software, fonts, music, stock assets, and open-source components remain subject to their respective licenses. We cannot transfer ownership of materials we do not own.
Before full payment, you may use supplied deliverables only to the extent authorized in the Order.
09Confidentiality and portfolio use
Each party will protect the other’s non-public business information and use it only to carry out the engagement. We may share necessary information with team members and service providers who need it to perform the work and are subject to appropriate confidentiality obligations.
Confidentiality does not cover information that is already public, independently developed, or lawfully obtained elsewhere. Information may also be disclosed when legally required.
Unless you ask us otherwise in writing, we may identify you as a client and display publicly released final work in our portfolio, social media, and case studies. We will not publish confidential information, private financial figures, or non-public performance data without your permission.
Our Privacy Policy explains how we handle personal information.
10Third-party platforms and services
Our work may rely on services such as Meta, Google, Cloudflare, Stripe, hosting providers, and software integrations. Your use of those services is subject to their own terms, policies, and fees.
You should retain ownership or administrative control of your business accounts wherever practical and provide us with appropriate access.
We are not responsible for third-party outages, account restrictions, rejected advertisements, policy changes, or discontinued features outside our reasonable control. If a platform change requires additional work, we will discuss its effect on scope, cost, and timing before proceeding.
11Results and service standards
We will perform the services described in your Order with reasonable care and skill.
Marketing performance depends on factors outside our control, including platform algorithms, competition, market conditions, advertising budgets, and your sales process. We do not guarantee particular rankings, views, engagement, leads, sales, or return on advertising spend.
Past results, examples, and estimates are illustrative and do not guarantee future outcomes. Project timelines are estimates unless the Order expressly establishes a binding deadline.
12Ending an engagement
Either party may end an engagement if the other materially breaches the Order or these Terms and fails to resolve the breach within ten days after receiving written notice.
We may immediately pause affected services where reasonably necessary to address unlawful activity, unauthorized access, or a material security risk.
When an engagement ends, we will provide completed, paid-for deliverables and return or relinquish access to your accounts. Outstanding amounts remain payable under the Order and these Terms.
Additional transition work, migration, training, or assistance for a replacement provider is included only if agreed in writing.
13Liability and third-party claims
To the extent permitted by law, each party’s total liability arising from an engagement is limited to the fees paid or payable to Lazy Marketing under the applicable Order during the three months immediately preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, special, or consequential losses to the extent permitted by law. These limitations do not excuse payment obligations or limit liability for fraud, intentional misconduct, or any liability that cannot legally be limited.
You agree to cover reasonable damages and legal costs arising from third-party claims that materials or instructions you supplied infringed another party’s rights or violated the law. This obligation applies only to the extent the claim results from your materials or instructions and excludes claims caused by our unauthorized changes, negligence, or misconduct.
We will notify you promptly of any such claim and reasonably cooperate in its handling. Neither party may agree to a settlement imposing an obligation on the other without that party’s written consent.
14Events outside our control
Neither party is responsible for delays caused by events beyond its reasonable control, such as severe weather, natural disasters, widespread outages, or government restrictions.
The affected party will notify the other and make reasonable efforts to reduce the disruption. If the interruption continues for more than 30 days, either party may end the affected work by written notice, with payment and refunds handled under Section 7.
15Governing law and disputes
These Terms and our engagements are governed by the laws of South Carolina, without regard to conflict-of-law rules.
Before starting legal proceedings, both parties agree to attempt to resolve the dispute through good-faith discussions. This does not prevent either party from seeking urgent court relief when necessary.
Subject to any mandatory legal requirements, disputes will be brought exclusively in the state courts located in Greenville County, South Carolina, or the federal courts serving Greenville County.
16Changes and general terms
We may update these Terms and will display the effective date of the current version. Updates do not change an existing Order unless both parties agree in writing.
If a provision is found unenforceable, the remaining provisions remain effective. A failure to enforce a provision does not waive the right to enforce it later.
The Order, these Terms, and any policies expressly incorporated into the Order form the agreement for that engagement. Provisions concerning payment, ownership, confidentiality, liability, and disputes survive termination where applicable.
Formal notices and cancellation requests should be sent to hello@lazymarketing.agency, unless the Order specifies another contact.
